These Terms and Conditions ("Terms") are a binding legal agreement between you ("you," "your," or "User") and ("Simply Search," "we," "us," or "our") governing your access to and use of:

  • https://simplysearch.app
  • all subdomains of simplysearch.app (including, without limitation, buy.simplysearch.app, license.simplysearch.app, and updates.simplysearch.app)
  • any related web pages, content, software downloads, APIs, update feeds, licensing endpoints, and support materials we make available (collectively, the "Services")

By accessing or using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You represent and warrant that:

  1. You are at least 18 years old (or the age of majority in your jurisdiction).
  2. You have legal capacity to enter into these Terms.
  3. If you use the Services on behalf of an organization, you have authority to bind that organization, and "you" includes that organization.
  4. Your use of the Services does not violate applicable law.

2. Scope of Services

The Services include, without limitation:

  1. Marketing, informational, and checkout pages on simplysearch.app and subdomains.
  2. Software update and distribution infrastructure (including signed update feeds and artifacts).
  3. Licensing APIs and systems used to activate, validate, refresh, and deactivate license entitlements.
  4. Documentation, support information, and related account/order management links.

We may modify, suspend, or discontinue all or part of the Services at any time, with or without notice, to the extent permitted by law.

3. Purchases, Billing, and Merchant of Record

  1. Purchases may be processed by third-party payment infrastructure, including Lemon Squeezy, acting as merchant of record.
  2. Pricing, taxes, accepted payment methods, refunds, and chargebacks are presented at checkout and/or in merchant policies.
  3. You are responsible for providing complete and accurate purchase information.
  4. We are not responsible for failures caused by third-party payment processors, card networks, or financial institutions.
  5. Where applicable, your use of payment or merchant portals is also governed by those providers' terms and policies.

4. License Keys, Activations, and Entitlements

  1. Access to paid functionality may require a valid license key and/or entitlement token.
  2. License activation limits, maintenance windows, update eligibility, and trial terms are defined by the applicable plan presented at checkout and in product documentation.
  3. You may not share, resell, transfer, or sublicense license keys except where explicitly allowed in writing.
  4. We may suspend or revoke licenses for fraud, abuse, chargebacks, payment reversal, policy violations, or legal requirements.
  5. We may require periodic online validation and may enforce offline grace windows.
  6. Emergency or critical updates may be handled under a separate entitlement policy for security and integrity reasons.

5. Trials and Promotional Access

  1. We may offer trial access, promotional codes, discounts, or complimentary access at our discretion.
  2. Trial eligibility criteria (for example, by email and/or device identity) may be enforced.
  3. Trial availability, duration, and scope can change at any time.
  4. Abuse of trial or promotional systems may result in suspension or permanent access restrictions.

6. Acceptable Use

You agree not to:

  1. Use the Services for unlawful, fraudulent, deceptive, or abusive purposes.
  2. Interfere with, disrupt, probe, scan, or attack any Service system, endpoint, or network.
  3. Circumvent technical limits, licensing controls, signature validation, update integrity checks, access controls, or anti-abuse systems.
  4. Reverse engineer or attempt to extract source code, signing keys, private APIs, or security-sensitive implementation details, except where prohibited by applicable law.
  5. Use automated scripts or bots in a way that materially burdens or degrades the Services.
  6. Upload, transmit, or distribute malware, exploits, or harmful code.

We may investigate and take action, including suspension, termination, and legal enforcement.

7. Intellectual Property

  1. The Services, including software, code, content, branding, design, and documentation, are owned by us or our licensors and protected by intellectual property laws.
  2. Except for rights expressly granted, no rights are transferred to you.
  3. "Simply Search" names, logos, and marks are our property (or used under license), and may not be used without permission.
  4. Third-party components may be subject to separate open-source or commercial license terms.

8. User Content and Feedback

  1. If you submit feedback, suggestions, bug reports, or ideas, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without compensation or obligation.
  2. You represent you have the right to submit any materials you provide.
  3. Do not submit confidential information unless we have a separate written agreement covering it.

9. Third-Party Services and Links

The Services may link to or integrate with third-party services, including payment, analytics, hosting, and support providers. We do not control third-party services and are not responsible for their availability, security, content, or terms.

Your use of third-party services is at your own risk and subject to those third-party terms.

10. Availability, Security, and Support

  1. We do not guarantee uninterrupted or error-free operation.
  2. We may perform maintenance, upgrades, and emergency changes at any time.
  3. We may implement security controls such as request validation, rate limits, replay protection, and signature checks.
  4. Support may be provided at our discretion and does not create a service-level commitment unless explicitly stated in a separate agreement.

11. Privacy

Your use of the Services is also governed by our Privacy Policy:

By using the Services, you acknowledge our collection and processing of data as described there.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
  2. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  3. WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

Some jurisdictions do not allow certain warranty exclusions; in those jurisdictions, exclusions apply to the maximum extent permitted.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
  2. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
    • the amount you paid us (or via merchant of record) for the Services in the 12 months before the event giving rise to liability, or
    • USD $100.
  3. These limitations apply regardless of legal theory (contract, tort, strict liability, or otherwise), even if advised of possible damages.

Some jurisdictions do not permit certain limitations; those limits apply to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Simply Search and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  1. your use or misuse of the Services;
  2. your violation of these Terms;
  3. your violation of applicable law;
  4. your infringement of third-party rights.

15. Suspension and Termination

We may suspend or terminate your access immediately, with or without notice, if:

  1. you violate these Terms;
  2. we reasonably suspect fraud, abuse, or security risk;
  3. required by law, court order, or regulator;
  4. payment is reversed, refunded, or charged back where permitted by applicable policy.

Upon termination:

  1. your right to use the Services ends;
  2. license entitlements may be revoked or invalidated;
  3. sections intended to survive will remain in effect.

16. Export, Sanctions, and Restricted Use

You agree not to use, export, re-export, or transfer the Services in violation of export control, sanctions, or trade compliance laws, including those of the United States and other applicable jurisdictions.

You represent you are not located in, controlled by, or ordinarily resident in restricted jurisdictions, and are not on prohibited-party lists.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Colorado, United States, excluding conflict-of-law rules.

All disputes arising out of or relating to these Terms or the Services will be resolved in the courts located in Denver, Colorado, and each party consents to personal jurisdiction and venue there, unless otherwise required by applicable consumer law.

If you are a consumer in a jurisdiction with mandatory local protections, those protections may apply.

18. Changes to Terms

We may update these Terms from time to time. Changes are effective on posting unless a different effective date is stated.

If changes are material, we may provide additional notice (for example, website banner, release notes, or email where appropriate). Continued use of the Services after the effective date constitutes acceptance of updated Terms.

19. Miscellaneous

  1. Entire Agreement: These Terms and any incorporated policies constitute the entire agreement between you and us regarding the Services.
  2. Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  3. No Waiver: Failure to enforce a provision is not a waiver.
  4. Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
  5. Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
